TRUST44 TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By accessing, browsing, or using the Trust44 website, mobile application, or services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). The Services are provided by Simpalo LLC, a Colorado limited liability company, which owns and operates the Trust44 platform. "Trust44" is a brand name used by Simpalo LLC and is not a separate legal entity. If you do not agree to these Terms, you may not access or use the Services.

IMPORTANT NOTICES:

1. I understand and agree that Trust44 is not a law firm or an attorney, may not perform services performed by an attorney, and its forms or templates are not a substitute for the advice or services of an attorney. Rather, I am representing myself in this legal matter. No attorney-client relationship or privilege is created with Trust44.
2. If, prior to my purchase, I believe that Trust44 gave me any legal advice, opinion or recommendation about my legal rights, remedies, defenses, options, selection of forms or strategies, I will not proceed with this purchase, and any purchase that I do make will be null and void.
3. I UNDERSTAND THAT THESE TERMS CALL FOR THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS, AND ALSO LIMIT THE REMEDIES AVAILABLE TO ME IN THE EVENT OF A DISPUTE AS DESCRIBED IN SECTION 17, BELOW. MY LIABILITY IS LIMITED TO THE LESSER OF $100 OR THE AMOUNT I PAID FOR THE SERVICE.
4. I UNDERSTAND THAT TRUST44 PERFORMS NO REVIEW OF MY ANSWERS, GENERATED DOCUMENTS, OR ANY CONTENT WHATSOEVER. TRUST44 CANNOT BE HELD LIABLE FOR COMPLETENESS, SPELLING, INTERNAL CONSISTENCY, OR ANY OTHER ASPECT OF THE DOCUMENTS. I WILL READ THE FINAL DOCUMENT(S) BEFORE SIGNING IT, WHERE APPLICABLE, AND AGREE TO BE SOLELY RESPONSIBLE FOR THE FINAL DOCUMENT(S).
5. I UNDERSTAND THAT ALL FORMS, QUESTIONS, WEBSITE CONTENT, AND GENERATED DOCUMENTS HAVE NOT BEEN REVIEWED BY ANY ATTORNEY. I AM SOLELY RESPONSIBLE FOR REVIEWING AND CONFIRMING THAT MY DOCUMENTS ARE LEGALLY VALID AND APPROPRIATE FOR MY CIRCUMSTANCES.

YOU ACKNOWLEDGE THAT BY USING THE SERVICES YOU ARE AT LEAST 18 YEARS OF AGE AND YOU ARE LEGALLY ABLE TO ENTER INTO A CONTRACT.

2. DEFINITIONS

• "Trust44," "we," "us," or "our" refers to Simpalo LLC, a Colorado limited liability company, which operates the Trust44 website and related services. "Trust44" is a brand name used by Simpalo LLC and is not a separate legal entity. References to "we" or "our" include Simpalo LLC's officers, directors, employees, consultants, and representatives.
• "You," "your," or "User" refers to each customer, visitor to the Services, or user of any Services. If you access or use the Services on behalf of a company, organization, or other entity, then (a) "you" and "your" also refers to that entity, (b) you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (c) you agree to these Terms on the entity's behalf.
• "Services" refers to Trust44's website, software, applications, and all services, self-help documents, forms, templates, and automated tools provided by Trust44.
• "Documents" means estate planning documents generated through the Services, including Last Will and Testament, Financial Power of Attorney, Medical Power of Attorney, Living Will, HIPAA Authorization, Trust documents, and any other legal forms we may offer.
• "Content" means all text, graphics, images, software, templates, and other materials available through the Services.
• "Document Materials" means all documents and other materials available through the Services, including any descriptions, information, and other self-help resources.

3. LEGAL DISCLAIMERS

3.1 NOT A LAW FIRM

TRUST44 IS NOT A LAW FIRM, AND DOES NOT PROVIDE LEGAL ADVICE. WHILE TRUST44 STRIVES TO ENSURE THAT ITS AUTOMATED SERVICES ARE COMPLETE, THEY ARE INTENDED FOR USE AS SELF-HELP FORMS. THE MATERIALS AND SERVICES ARE NOT SUBSTITUTES FOR THE ADVICE OF AN ATTORNEY.

NO ATTORNEY-CLIENT RELATIONSHIP IS CREATED THROUGH THE USE OF TRUST44. ANY AND ALL COMMUNICATIONS BETWEEN YOU AND TRUST44 ARE PROTECTED BY OUR PRIVACY POLICY BUT NOT BY ATTORNEY-CLIENT PRIVILEGE.

3.2 SELF-HELP SERVICE ONLY

Trust44 is not a law firm and does not provide any legal advice. As part of our Services, we offer self-help, "fill in the blank" forms. If you buy or download a form on the Services, these Terms control. You understand that your purchase, download, and/or use of a form document is neither legal advice nor the practice of law.

Our Services are not substitutes for the advice of an attorney and if you need legal advice for your specific matter, or if your matter is too complex to be addressed by our tools, you should consult a licensed attorney in your area.

3.3 NO ATTORNEY-CLIENT RELATIONSHIP

At no time is an attorney-client relationship or any other special relationship created between you and Trust44 or any employee or other person associated with Trust44, and any information you provide us is not protected by attorney-client privilege or as attorney work product. You are and will be representing yourself in any matter you undertake using the Services.

3.4 AUTOMATED DOCUMENT PREPARATION

We provide online tools and materials to assist you with the preparation, execution and storage of your own legal documents and related information. We strive to keep the Document Materials current and up-to-date; however, they are not legal advice and are not guaranteed to be correct, complete or up-to-date.

The law changes rapidly and is different from jurisdiction to jurisdiction, and may be subject to interpretation by different courts. The law is a personal matter, and no general information or legal tool like the kind we provide can fit every circumstance.

3.5 NO LEGAL REVIEW

We do not review the Document Materials or any information you input for accuracy or legal sufficiency, nor do we draw legal conclusions, provide legal advice or apply the law to the facts of your particular situation. You understand that our providing of the Services to you is neither legal advice nor the practice of law, and that the Document Materials are not customized to your particular needs.

3.6 PROHIBITED LEGAL ADVICE

If, prior to your use of any legal document, you believe that Trust44 gave you any legal advice, opinion or recommendation about your legal rights, remedies, defenses, options, selection of forms or strategies, you must not use these documents, and any use of these documents is done at your own risk.

3.7 No Document Review

TRUST44 PERFORMS NO REVIEW OF ANY KIND ON YOUR ANSWERS, GENERATED DOCUMENTS, OR ANY CONTENT WHATSOEVER. TRUST44 CANNOT AND WILL NOT BE HELD LIABLE FOR COMPLETENESS, SPELLING, INTERNAL CONSISTENCY, LEGAL VALIDITY, OR ANY OTHER ASPECT OF THE DOCUMENTS. All document generation is purely automated without any human oversight, review, or quality control.

3.8 No Attorney Review

ALL FORMS, QUESTIONS, WEBSITE CONTENT, AND GENERATED DOCUMENTS HAVE NOT BEEN REVIEWED BY ANY ATTORNEY. You acknowledge that no legal professional has reviewed any aspect of our Services, templates, or generated documents. You are solely responsible for reviewing and confirming that your documents are legally valid and appropriate for your circumstances.

4. SERVICE DESCRIPTION

Trust44 provides automated estate planning document generation services, including but not limited to:

• Living Will (planned)
• HIPAA Authorization (planned)

• Other estate planning documents as we may add

4.2 Fully Automated Process

THE SERVICES ARE ENTIRELY AUTOMATED USING SOFTWARE ALGORITHMS AND ARTIFICIAL INTELLIGENCE SYSTEMS. There is no human review, legal review, or attorney involvement in the document creation process. All document generation is performed by automated systems without human intervention.

4.3 Self-Help Nature

Our Services are self-help tools designed for individuals to create their own estate planning documents. You are solely responsible for:

• Providing accurate information
• Reviewing generated documents for accuracy
• Ensuring documents meet your specific needs
• Complying with execution requirements in your jurisdiction

4.4 Document Delivery

Documents are delivered electronically through digital download only. We do not provide:

• Physical document printing or mailing
• Notarization services
• Witness coordination
• Execution assistance
• Document storage or vault services (at this time)
• Legal consultation or attorney referrals (at this time)

4.5 Geographic Scope

Services are available to residents of all 50 U.S. states and the District of Columbia. We may offer state-specific document variations where required by law.

5. USER ELIGIBILITY AND ACCOUNT REQUIREMENTS

5.1 Age and Capacity Requirements

You must be at least 18 years of age and have the legal capacity to enter into contracts to use the Services. For estate planning purposes, you must be of legal age to execute the specific document type in your jurisdiction (generally 18 for wills).

5.2 Geographic Restrictions

The Services are available only to residents of the United States and its territories. You may not use the Services if you are:

• A resident outside the United States
• A resident of a country embargoed by the United States
• A foreign person or entity blocked or denied by the United States government

5.3 Individual Use Only

You may only create an account for yourself. You may not:

• Share account credentials
• Create accounts on behalf of others
• Allow others to use your account
• Create joint accounts (each person must have their own account)

5.4 Professional Use Restrictions

While we do not block professional users (attorneys, financial planners) from using the platform, you acknowledge that:

• We provide no special features or support for professional use
• Professional users must comply with their own licensing and ethical requirements

5.5 Account Security

You are entirely responsible for maintaining the confidentiality of your password and account information. You are solely responsible for all activity that occurs on your account. You must notify us immediately of any unauthorized use of your account.

6. USER RESPONSIBILITIES

6.1 Accuracy of Information

To the best of your knowledge, you must provide accurate, complete, and current information to Trust44. You are solely responsible for all information provided and must obtain all third-party consents required for your use of the Services.

6.2 Document Review and Responsibility

YOU ARE SOLELY RESPONSIBLE FOR:

• Reading and reviewing all final documents before signing or executing them
• Ensuring documents accurately reflect your intentions
• Verifying compliance with applicable laws in your jurisdiction
• Obtaining proper witnesses and notarization where required
• Understanding the legal implications of your documents

6.3 Legal Compliance

You are responsible for ensuring that your use of the Services and execution of Documents complies with all applicable federal, state, and local laws, statutes, rules, and regulations.

6.4 Information Updates

You are responsible for updating your information and Documents when your circumstances change or when required by law. We have no obligation to notify you of legal changes that may affect your Documents.

6.5 Proper Execution

You are solely responsible for properly executing Documents according to the legal requirements of your jurisdiction, including but not limited to:

• Obtaining appropriate witnesses
• Securing proper notarization
• Following state-specific execution procedures
• Ensuring mental capacity at time of execution

7. PROHIBITED USES

You agree not to use the Services to:

7.1 Unauthorized Practice of Law

• Provide legal services to others
• Create documents for anyone other than yourself
• Give legal advice or opinions
• Represent others in legal matters

7.2 Technical Violations

• Upload invalid data, viruses, worms, or other software agents
• Attempt to interfere with, compromise system integrity or security
• Use automated systems to access the Services in ways that exceed normal human use
• Reverse engineer, copy, or replicate our software or Content
• Bypass measures that prevent or restrict access to the Services

7.3 Illegal or Fraudulent Activity

• Engage in any illegal purpose or activity
• Create Documents containing false, fraudulent, or misleading information
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Impersonate another person or misrepresent your identity

7.4 Commercial Misuse

• Use the Services for commercial solicitation purposes
• Collect or harvest personally identifiable information from the Services
• Use the Services in ways that compete with Trust44

8. PAYMENT TERMS

8.1 Pricing and Payment

Current pricing for Services is displayed on our website and may change at any time without notice. We accept various payment methods as indicated during checkout. Payment processing is handled by third-party payment processors.

8.2 Subscription Services

If you purchase subscription services:

• BY PURCHASING SERVICES ON A SUBSCRIPTION BASIS, YOU AUTHORIZE US TO AUTOMATICALLY INITIATE RECURRING NON-REFUNDABLE PAYMENTS
• Your subscription will automatically renew at the specified interval
• You authorize us to charge your payment method for renewal fees
• You may cancel through your account settings
• Cancellation must be made at least 24 hours before the next renewal date

8.3 Payment Authorization

You authorize Trust44 (or our third-party payment processor) to charge your payment method on file for all fees and charges incurred in connection with your use of the Services, including Trust44's fees, taxes, and other third-party fees.

8.4 Failed Payments

If your payment method is declined or payment fails:

• We may make multiple attempts to process payment
• We may suspend or terminate your access to Services
• You remain responsible for all unpaid amounts
• We may restrict your ability to purchase other Services

8.5 Taxes

You agree to pay all applicable taxes, if any, relating to any purchases, transactions, or other monetary interactions with the Services.

9. REFUND POLICY

9.1 60-Day Refund Period

You may request a full refund within 60 days of purchase, provided you have not downloaded your completed Documents. This refund period matches industry standards and provides reasonable protection for both parties.

9.2 No Refunds After Download

I understand that, unless Trust44 is at fault and other than as required by applicable law, I shall have no right to cancel any order for cash refund or store credit after I have downloaded my completed Documents.

9.3 All Sales Final

EXCEPT AS EXPRESSLY PROVIDED HEREIN, YOUR PURCHASE IS FINAL AND YOU WILL NOT BE ABLE TO CANCEL THE PURCHASE AND/OR RECEIVE A REFUND AT ANY TIME UNLESS REQUIRED BY LAW.

9.4 Refund Process

To request a refund, contact us at support@trust44.com. THE SUBJECT LINE MUST INCLUDE "REQUESTING REFUND -" OTHERWISE IT WILL NOT BE CONSIDERED A VALID REQUEST AND WILL BE IGNORED. Refunds will be processed to your original payment method within 10 business days. All refunds are at our sole discretion.

9.5 Subscription Refunds

For subscription services:

• No refunds for unused portions of subscription periods unless required by law
• If we cancel your subscription for violation of Terms, no refund will be provided
• Promotional rates are non-refundable

10. INTELLECTUAL PROPERTY RIGHTS

10.1 Trust44 Ownership

Except as provided in these Terms, Trust44 retains all rights in the Services. The Services and all materials therein, including software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, and all intellectual property rights related thereto, are the exclusive property of Trust44 and its licensors.

10.2 Limited License to Users

Trust44 grants you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your personal, non-commercial use in accordance with these Terms. This license terminates automatically if you breach any Terms.

10.3 Restrictions on Use

You agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from any materials or Content accessible on the Services, except as explicitly permitted.

10.4 User-Generated Content

You retain ownership of information you provide to create Documents. However, you grant us a non-exclusive, royalty-free license to use this information to provide Services, improve our offerings, and comply with legal obligations.

10.5 Document Ownership

You own the completed Documents generated for you through the Services. However, the underlying templates, software, and document generation technology remain our exclusive property.

11. AI AND AUTOMATED SERVICES

11.1 Use of Artificial Intelligence

Trust44 uses artificial intelligence, machine learning, and automated technologies to provide Services. You acknowledge and agree that:

• AI features are used in document generation and processing
• You may provide input and receive AI-generated output
• You are responsible for all AI-generated content
• You must ensure AI content complies with these Terms and applicable law

11.2 AI Content Responsibility

YOU ARE RESPONSIBLE FOR AI CONTENT, INCLUDING ENSURING THAT IT DOES NOT VIOLATE ANY APPLICABLE LAW OR THESE TERMS. You represent and warrant that you have all rights, licenses, and permissions needed to provide input to any AI features.

11.3 AI Limitations and Disclaimers

AI-GENERATED RESULTS MAY NOT ALWAYS BE ACCURATE, SO YOU SHOULD NOT RELY SOLELY ON THOSE RESULTS, OR USE RESULTS AS A SUBSTITUTE FOR PROFESSIONAL AND/OR LEGAL ADVICE. Your use of AI features is subject to all disclaimers in Section 3.

11.4 AI Content Ownership

As between you and Trust44, you (a) retain your ownership rights in input provided to AI features and (b) own the output generated. We may use AI content to provide, maintain, develop, and improve the Services, comply with applicable law, enforce our terms and policies, and keep our Services safe.

12. PRIVACY AND DATA PROTECTION

12.1 Privacy Policy

Your use of the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. You consent to have your personal data collected, used, transferred to and processed in accordance with our Privacy Policy.

12.2 Data Storage and Security

Your data is stored on secure servers located in the United States. We have implemented commercially reasonable technical and organizational measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration or disclosure.

TRUST44 HEREBY DISCLAIMS LIABILITY FOR ANY INFORMATION, MATERIALS, PRODUCTS OR SERVICES POSTED OR OFFERED BY THIRD PARTIES. Trust44 is not liable for any failure of products or services offered by third parties. A third party may have a privacy policy different from Trust44 and may provide less security than Trust44.

13.4 Third-Party Changes

Third parties may change their terms, privacy policies, or discontinue services at any time. We are not responsible for such changes or their impact on your use of our Services.

14. SERVICE AVAILABILITY

14.1 No Service Level Guarantees

WE MAKE NO GUARANTEES ABOUT SERVICE AVAILABILITY, UPTIME, OR UNINTERRUPTED ACCESS. The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.

14.2 Service Interruptions

Services may be temporarily unavailable due to:

• Scheduled or emergency maintenance
• Technical failures or system upgrades
• Internet connectivity issues
• Force majeure events
• Other factors beyond our reasonable control

14.3 Right to Discontinue Services

WE RESERVE THE RIGHT TO DISCONTINUE THE SERVICES AT ANY TIME WITHOUT NOTICE. We may permanently or temporarily terminate or suspend your access to the Services without notice and liability for any reason, including if we determine you violate any provision of these Terms, or for no reason.

14.4 No Customer Support

WE DO NOT PROVIDE CUSTOMER SUPPORT SERVICES. All use of the Services is self-service. We are not obligated to provide technical support, answer questions, or assist with document preparation.

14.5 Data Deletion Upon Termination

Any data, account history, and account content residing on our servers may be deleted, altered, moved, or transferred at any time for any reason at Trust44's sole discretion, with or without notice and with no liability of any kind. Trust44 does not provide or guarantee any value attributed to any data residing on our servers.

15. LIMITATION OF LIABILITY

15.1 Liability Cap

EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF TRUST44, IT WILL BE LIMITED TO THE LESSER OF $100 OR THE AMOUNT PAID FOR THE PRODUCTS AND/OR SERVICES AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES.

15.2 Excluded Damages

EXCEPT AS PROHIBITED BY LAW, YOU WILL HOLD TRUST44 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS HARMLESS FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGE, HOWEVER IT ARISES (INCLUDING ATTORNEYS' FEES AND ALL RELATED COSTS AND EXPENSES), WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTION, ARISING FROM OR IN CONNECTION WITH THESE TERMS, INCLUDING WITHOUT LIMITATION ANY CLAIM FOR PERSONAL INJURY OR PROPERTY DAMAGE.

15.3 Specific Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUST44 ASSUMES NO LIABILITY OR RESPONSIBILITY FOR:

• Any errors, mistakes, omissions, or inaccuracies of Content or Documents
• Any personal injury or property damage resulting from your access to or use of our Services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Services
• Any bugs, viruses, or malicious code that may be transmitted through the Services
• Any loss or damage incurred as a result of the use of any Content or Documents
• Any defamatory, offensive, or illegal conduct of any third party

15.4 Document-Specific Disclaimers

Trust44 is not liable for:

• Legal invalidity of Documents in any jurisdiction
• Failure of Documents to meet specific legal requirements
• Consequences of improper Document execution
• Changes in applicable law affecting Document validity
• Errors in state-specific legal requirements

15.5 State Law Variations

Some states do not allow the exclusion or limitation of punitive, incidental, or consequential damages, so the prior limitation or exclusion may not apply to you. This section does not apply to North Carolina consumers to the extent prohibited by North Carolina law.

15.6 Maximum Liability

IN NO EVENT SHALL TRUST44, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE LESSER OF $100 OR THE AMOUNT YOU PAID TO TRUST44 FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

16. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Trust44 and its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

16.1 Your Use of Services

• Your use of and access to the Services
• Any data or content transmitted or received by you
• Your violation of these Terms

16.2 Legal Violations

• Your violation of any third-party right, including intellectual property rights, privacy rights, or publicity rights
• Your violation of any law, rule, or regulation of the United States or any other jurisdiction
• Any violation by you of any federal, state, or local laws, statutes, rules, or regulations

16.3 Content and Document Use

• Any claim or damages that arise as a result of any content uploaded by you
• Any use or misuse of Documents generated through the Services
• Any consequences of improper Document execution or legal invalidity

16.4 Account Security

• Any other party's access and use of the Services with your username, password, or other security credentials
• Any unauthorized use of your account

This indemnification obligation will survive termination of these Terms and your use of the Services.

17. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY BECAUSE IT REQUIRES YOU AND TRUST44 TO ARBITRATE CERTAIN DISPUTES AND CLAIMS AND LIMITS THE MANNER IN WHICH WE CAN SEEK RELIEF FROM EACH OTHER, UNLESS YOU OPT OUT OF ARBITRATION BY FOLLOWING THE INSTRUCTIONS SET FORTH BELOW. 17.1 Informal Dispute Resolution

Most concerns can be resolved quickly by contacting us at support@trust44.com. Before filing any formal dispute, you and Trust44 agree to attempt to resolve any dispute, claim, or controversy informally for at least 30 days. To initiate informal dispute resolution, you must send a written notice to Trust44 at support@trust44.com with the subject line "LEGAL NOTICE -" OTHERWISE IT WILL NOT BE CONSIDERED A VALID REQUEST AND WILL BE IGNORED.

The notice must include your name, contact information, description of the dispute, and specific relief sought.

17.2 Binding Arbitration Agreement

If informal dispute resolution does not resolve the dispute within 30 days, you and Trust44 agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (collectively, "Disputes") will be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules.

17.3 Arbitration Procedures

• Location: Arbitration will be conducted in Denver, Colorado
• Arbitrator: One arbitrator will be selected according to AAA rules
• Rules: Consumer Arbitration Rules for consumers; Commercial Arbitration Rules for others
• Fees: YOU ARE RESPONSIBLE FOR ALL ARBITRATION FEES AND COSTS as determined by AAA fee schedules
• Legal Fees: YOU ARE RESPONSIBLE FOR ANY AND ALL LEGAL FEES, LEGAL COUNSEL, AND ADVISOR FEES INCURRED BY TRUST44 in connection with any dispute, arbitration, or legal proceeding. THESE FEES MUST BE PAID IN FULL WITHIN 30 DAYS OF RECEIPT OF INVOICE. UNPAID AMOUNTS WILL INCUR INTEREST AT THE RATE OF 1.5% PER MONTH (18% ANNUALLY).
• Remedies: Arbitrator may award any relief available in court but damages must be consistent with Section 15

17.4 Class Action Waiver

YOU AND TRUST44 AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You acknowledge and agree that you are waiving the right to participate as a plaintiff or class member in any purported class action or representative proceeding.

17.5 Exceptions to Arbitration

Notwithstanding the above, either party retains the right to:

• Seek injunctive or equitable relief in court for intellectual property infringement
• File individual actions in small claims court
• Seek emergency relief to preserve the status quo pending arbitration

17.6 Arbitration Opt-Out

YOU HAVE THE RIGHT TO OPT OUT OF BINDING ARBITRATION WITHIN 30 DAYS of first accepting these Terms by sending written notice to support@trust44.com with the subject line "ARBITRATION OPT-OUT." Your notice must include your full name and clearly indicate your intent to opt out of binding arbitration. If you opt out, you may exercise your right to a trial by jury or judge, as permitted by applicable law.

17.7 Severability

If any portion of this arbitration provision is found to be unenforceable, the remainder shall remain in effect, except that if the class action waiver is found invalid, the entire arbitration provision shall be null and void.

17.8 Survival

This dispute resolution provision will survive any termination of these Terms or your use of the Services.

18. GOVERNING LAW

These Terms and your use of the Services will be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles. Any dispute not subject to arbitration shall be resolved in the state or federal courts located in Denver, Colorado, and you consent to personal jurisdiction in these courts.

We may terminate or suspend your account and access to Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

19.3 Effect of Termination

Upon termination:

• You remain bound by these Terms
• All provisions that should survive termination will survive
• We may delete your account and data at our sole discretion
• No refunds will be provided except as required by law
